BLACK RAVEN MARKETPLACE
VENDOR GUIDELINES & AGREEMENT
Please review the following information carefully before applying to participate as a vendor with Black Raven Marketplace. By accepting a vendor space and submitting payment, you acknowledge and agree to comply with the guidelines and policies outlined below.
1. VENDOR APPLICATION & SELECTION
Vendor applications are reviewed to ensure a strong and diverse marketplace experience for our guests and participating businesses.
Applications are evaluated based on:
· Brand alignment
· Product quality and variety
· Customer appeal
· Professionalism
· Merchandising and presentation
· Price range and overall marketplace mix
Selected vendors will be notified by email.
Please check your spam or junk folder if you are expecting a response from us. Submitting an application does not guarantee acceptance or reserve a vendor space.
2. VENDOR SPACE & FEE
Nighttime Events
10' x 10' Vendor Space: $100 per event date
Your vendor fee reserves the selling space only. Vendors are responsible for bringing all equipment necessary to operate their space, including:
· Tables and chairs
· Canopy or umbrella, if desired
· Display fixtures and merchandising materials
· Lighting
· Extension cords and electrical equipment, when applicable
Canopies, umbrellas, tables, chairs, and other setup equipment are not provided by Black Raven Marketplace. If you apply for multiple event dates, each date is confirmed individually and only after payment has been received.
3. PAYMENT & SPACE CONFIRMATION
PAYMENT IS DUE UPON ACCEPTANCE FOR ALL EVENT DATES FOR WHICH YOU HAVE BEEN APPROVED.
Your vendor space is not confirmed or secured until payment is received. Payment must be received within 48 hours of acceptance. If payment is not received within 48 hours, your space may be forfeited and offered to another vendor. Once payment is submitted, you are committing to participate in the event date(s) for which payment was made.

4. REQUIRED SELLER DOCUMENTATION
BUSINESS LICENSE
Sellers are responsible for the operation of their own business, including their own business license for the city/cities they sell in. Should you choose to move forward to apply for a business license, visit our website to download the business license for Santa Ana.
SELLERS PERMIT
Businesses must have a valid Seller's Permit to sell. Your Seller's Permit must include the address that you will be physically selling at, (NOT YOUR HOME ADDRESS) Please send us a copy of your sellers permit. Organizers must keep three (3) years of records.

5. VENDOR SETUP & EVENT REQUIREMENTS
Equipment & Displays
Vendors must provide their own tables, chairs, displays, canopies, umbrellas, and other equipment required for their setup. All displays, merchandise, equipment, and storage must remain within the vendor's assigned space. Storage containers, boxes, inventory, and other supplies must be concealed or stored discreetly within your assigned space to maintain a professional marketplace appearance.
Electricity & Lighting
Electricity is available. Vendors requiring electrical access should bring:
· Heavy-duty extension cords, approximately 25–50 feet
· A surge protector/power strip
· Any adapters or equipment necessary for their setup
Battery-powered and solar-powered lighting are also encouraged. Gasoline-powered generators are not permitted.
Prohibited Items & Activities
The following are prohibited:
· Open flames
· Burning sage, incense, or similar materials
· Fog machines
· Gasoline-powered generators
· Alcohol sales
· Tobacco sales
· “420” products
· Firearms
· Weapons of any kind
Taxidermy products must be verified as ethically and legally sourced.
Vendor Space Coverage
Vendor spaces must be staffed during all published event hours. Black Raven Marketplace staff may be available to briefly assist if you need to step away for matters such as paying a parking meter; however, vendors remain responsible for their merchandise, property, transactions, and assigned space.
6. CANCELLATIONS & NO-SHOWS
We understand that circumstances can change. Vendors who provide at least seven (7) days' advance notice of cancellation may receive a one-time credit to transfer their vendor fee to another eligible event date, subject to availability.
Cancellations made with less than seven (7) days' notice, as well as vendor no-shows, are not eligible for a credit, refund, or rollover date.
7. WEATHER POLICY
Black Raven Marketplace events are held outdoors and may be affected by weather conditions. If adverse weather is forecast, Black Raven Marketplace will evaluate the conditions and determine the most appropriate course of action for the event as a whole. We ask vendors not to make individual cancellation decisions based solely on the forecast and to allow event organizers time to evaluate conditions and communicate any changes. If Black Raven Marketplace cancels an event due to weather, the affected event will be rescheduled when possible, or the vendor fee will be credited toward another eligible event date.
8. OUR COMMITMENT TO EVENT PROMOTION
Black Raven Marketplace is committed to building awareness and attracting an engaged audience to our events. Our marketing strategy includes a combination of:
· Organic social media
· Paid social and digital advertising
· Grassroots marketing
· Community outreach
· Cross-promotion with complementary organizations and businesses
· Direct outreach to clubs, associations, community organizations, and meetup groups
Our promotional reach includes Orange County, Los Angeles, San Diego, the Inland Empire, and surrounding Valley communities. We also promote Black Raven Marketplace at complementary events, businesses, and locations where our target audience already gathers. Our goal is to create visibility, build momentum, and connect our vendors with an engaged audience.
9. VENDOR PROMOTION
Successful events are a collaborative effort. While Black Raven Marketplace actively promotes each event, we strongly encourage participating vendors to promote their attendance to their own customers and communities. Black Raven Marketplace will typically provide event marketing materials in advance, including social media graphics vendors can use to announce their participation. We recommend beginning promotion approximately two weeks before the event and continuing through the day before the event.

· YOUR brand story
Tag Black Raven Marketplace when appropriate so we can help amplify participating vendors and build momentum around the event.
10. PHOTOGRAPHY & VIDEO
Photos and/or video may be taken of your space and products with these images and video being used by Black Raven Marketplace for promotional purposes. The use of images are to promote the event as a whole and not highlight a brand or business. Images may be of sellers that are not currently included to sell with us and can be used by Black Raven Marketplace indefinitely.
11. LIABILITY & INSURANCE
It is recommended that all vendors carry their own liability insurance. (Act Insurance provides coverage for as low as $49 for a one day pop up event) However, if you opt not to purchase insurance, the Black Raven Marketplace will not be responsible for any loss or damage to the participants property, injury to, or death of the participant. or its agents, employees, and/or personnel or participants sales. Participant assumes all risks of loss, damage, liability, injury, or destruction, resulting from any cause whatsoever, including, but not limited to, acts or omissions by participant, and hereby releases and waives any claims against the Black Raven Marketplace related to such loss, damage, liability, injury and/or destruction.

12. CODE OF CONDUCT
Black Raven Marketplace is committed to maintaining a professional, respectful, and welcoming environment for vendors, guests, staff, and community partners.
Be professional. Be respectful. Be kind. We are in this together.
The following conduct will not be tolerated:
· Physical or verbal threats
· Harassment or abusive behavior
· Obscene, threatening, or intentionally disruptive conduct
· Profanity or vulgar behavior directed toward vendors, guests, staff, or event partners
· Willful disregard of event rules or staff instructions
· Conduct that materially interferes with another vendor's ability to conduct business
Serious or repeated violations may result in immediate removal from the event and may result in exclusion from future Black Raven Marketplace events.
13. COMPLIANCE WITH EVENT RULES
Black Raven Marketplace reserves the right to address vendor activities that do not comply with these guidelines or that materially interfere with the safe and orderly operation of the event. Vendors may not operate in a manner that disrupts neighboring vendors, guests, event staff, participating businesses, or the overall marketplace environment. Failure to comply with event rules, safety requirements, venue requirements, or reasonable instructions from Black Raven Marketplace staff may result in removal from the event. A vendor removed for violation of these requirements may not be eligible for a refund or event credit.
VENDOR ACKNOWLEDGMENT
By submitting payment and participating in a Black Raven Marketplace event, the vendor acknowledges that they have reviewed and agree to comply with these Vendor Guidelines & Agreement.
